What is Section 8 Company Registration?

Section 8 Company is a form of Company recognized under Section 8 of Companies Act, 2013 that dedicates their incomes and profits towards the furtherance of the company’s non-profit objectives and philanthropic causes. The Companies Act defines a Section 8 company as one whose objective is to promote fields of arts, commerce, science, research, education, sports, charity, social welfare, religion, environment protection, or other similar objectives. Section 8 does not pay dividends to its members. After incorporation, the business intends to use any earnings or other revenue only for the furtherance of such goals.
The profits of a Section 8 Company cannot be used to pay dividends to its shareholders; instead, it must be utilized to further philanthropic goals. These businesses get a certificate of incorporation from the federal government and are required to follow the rules set out by the government. Failure to comply with the Central Government's obligations may result in the firm being wound up on government orders, according to the rules. Furthermore, if the business's stated aims are shown to be false, harsh legal action will be taken against all members of the organization.

Why Section 8 Company Registration?

Tax-Free Status
Section 8 companies are entitled to several tax benefits, especially to the donors who contribute to Section 8 companies. These donors can claim the tax exemption against their gift to a Section 8 firm.
No Minimum Capital
Unlike other forms of registrations such as public limited corporations, section 8 companies have no set minimum capital requirement, but the capital structure can be changed at any time as needed for the company's growth.
Separate Legal entity
A Section 8 Company, like other company forms, has its own identity and legal status apart from its members. An everlasting existence is also a feature of a Section 8 Corporation.
No Stamp Duty
A section 8 corporation is free from paying stamp duty on registration, as is the case with other structures such as private limited or public limited companies.
Establishes Trust
Section 8 Company has more credibility as it is a government-issued license and has more stringent regulations with regards to changes in MOA and AOA and other objectives.
No Corporate Title
A section 8 business, unlike a private limited or a public limited company, is not required to use a suffix after its name and can operate without it.
